At a special Meeting of the Board of Directors which were
present, J. Robert Wiss, Norman F. Wiss and Jerome B. Wiss,
Norman F. Wiss offered the following resolution:

RESOLVED that the Treasurer, severally, or the President
and Assistant Treasurer -- or, the President and the Secretary,
jointly, shall have access to the safe deposit box of this
Company.

There being no further business, the Meeting Adjourned.
