Special meeting of Directors J. Robert Wiss, Norman F. Wiss, Jerome B. Wiss.

It was moved and seconded that Norman F. Wiss is hereby authorized to enter
into a contract with the Pinking Shears Corporation of New York, concerning
selling and manufacturing of Pinking Shears.
