Special Meeting of Directors: J. Robert Wiss, Norman F. Wiss, and
Jerome B. Wiss:

Norman F. Wiss moved that a dividend of 7-1/2 percent on the common stock of
the Company be declared payable out of the surplus funds of the Company
at once to stockholders of even date. Motion seconded by Jerome B. Wiss
and carried. Motion to adjourn carried.
