At a special meeting of the Board of Directors, at which were present
J. Robert Wiss, Jerome B. Wiss and Norman F. Wiss, it was regularly
moved and seconded that the semi-annual preferred dividend be paid at
once to stockholders of record of even date. Motion carried.
