Meeting of the Board of Directors of J. Wiss & Sons Company, elected by
stockholders, held this 27th day of January, 1938, after the close of the
stockholders' meeting, called to order at 3:30 p.m. All the directors
were present.

The following officers were nominated and elected:

   President: J. Robert Wiss     Vice President: Norman F. Wiss
   Treasurer: Norman F. Wiss     Ass't. Treasurer: Richard R. Wiss
                     Secretary: Jerome B. Wiss 
 
Jerome B. Wiss moved that a dividend of 10 percent on the common stock of the
Company be declared payable February 1st to the stockholders of record of
even date. Motion seconded by Jerome B. Wiss and carried.

It was regularly moved and seconded that the salaries of the officers be
continued at the same bases as at present.

There being no further business the meeting adjourned.
