Jan 22/03  Meeting of Board of Directors held after close of 
           stockholders meeting. Present F.b.j. Wiss, L.T. Wiss, H. Rauh
           all the directors elected this day. The following were elected
           officers: President - Frederick C.J. Wiss,
           Secretary - Louis T. Wiss, Treasurer - Frederick C.J. Wiss.
           
           On motion the meeting was adjourned.
