Sep 13/16  Special meeting of the Board of Director
           held September Thirteenth Nineteen hundred
           and sixteen.

           Meeting called to order by the president at
           8:30 A.M.

           On motion of J. Robert Wiss duly seconded
           a dividend of Ten percent (10%) was declared
           on the common stock of the company payable
           at once out of the surplus of the company.

            A motion to adjourn was carried.
