Special meeting of Directors J. Robert Wiss, Norman F. Wiss, Jerome B. Wiss.

Norman F. Wiss moved that a dividend of 5% on the Common Stock of the
Company be declared payable out of the surplus funds of the company at
once, to stockholders of even date.

Motion seconded by Jerome B. Wiss and carried.

Motion to adjourn carried.
